These Terms of Service ("Terms") govern your access to and use of ValleyBee Limited's ("ValleyBee", "we", "us", or "our") website at valleybee.com.ng, mobile applications, training and community programs, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.
- Acceptance of Terms: If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Services.
- Services: ValleyBee provides information resources, training programs, certification pathways, tools and software for ecosystem restoration and beekeeping, and community engagement features. Certain Services may have additional terms that apply and will be presented when you use those features.
- Privacy: Your use of the Services is subject to our Privacy Policy, which explains how we collect and process personal information. By using the Services, you consent to our processing of your information as described there.
- Accounts and Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized use or security incident.
- Permitted Use: You agree to use the Services only for lawful purposes and in accordance with these Terms. You will not attempt to interfere with or disrupt the Services, reverse engineer components, or misuse any ValleyBee content or data.
- User Content: You retain ownership of content you submit ("User Content"). You grant ValleyBee a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, and display your User Content solely for providing and improving the Services. You represent that you have the rights necessary to grant this license and that your User Content complies with applicable laws and does not infringe others’ rights.
- Intellectual Property: All intellectual property rights in the Services and ValleyBee content (including software, designs, graphics, text, logos, and trademarks) are owned by ValleyBee or its licensors. These Terms do not transfer any ValleyBee IP to you. You may not use our trademarks without prior written permission.
- Third‑Party Services: The Services may contain links to or integrations with third‑party services. ValleyBee is not responsible for third‑party content, policies, or practices. Your use of third‑party services is at your own risk and subject to their terms.
- Disclaimers: The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, ValleyBee disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement. ValleyBee does not warrant that the Services will be uninterrupted or error‑free, or that results will meet your requirements.
- Limitation of Liability: To the maximum extent permitted by law, ValleyBee and its affiliates, directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses, arising from or relating to your use of the Services, even if advised of the possibility of such damages. Our total liability for any claim shall not exceed the amounts you paid (if any) for the applicable Service during the twelve (12) months preceding the event giving rise to the claim.
- Suspension/Termination: We may suspend or terminate access to the Services at any time if we reasonably believe you have violated these Terms, created risk, or for maintenance or business reasons. You may stop using the Services at any time.
- Changes to the Services and Terms: We may modify the Services and update these Terms from time to time. If changes are material, we will provide reasonable notice (e.g., by posting an update or sending a communication). Continued use after changes constitutes acceptance of the updated Terms.
- Governing Law and Jurisdiction: These Terms are governed by the laws of Nigeria, without regard to its conflicts of law principles. You agree to the exclusive jurisdiction and venue of the courts located in Nigeria for disputes arising from or relating to these Terms or the Services.
